How to set up a limited company

To set up a UK private company limited by shares, you’ll need to prepare the company’s name, address, directors, shareholders and governing documents. You’ll also need to complete the identity verification that applies and register with Companies House. Once it’s set up, the company is a separate legal entity with its own ongoing filing duties, even if you’re its only owner and director. Companies House: setting up a company.
Here’s what to prepare before you start the application.
Make the key decisions first
You’ll need:
a company name that meets the rules
at least one director
at least one shareholder
a registered office address that meets the requirements
information about people with significant control
One person can be both the director and the only shareholder.
You’ll also choose a SIC code, which describes what the business does, and prepare the company’s governing documents: the memorandum and articles of association. You can use the standard model articles. If the business has several owners, or shares with different rights, you may need tailored advice. Companies House: setting up a company.
Thinking of using your home address? Check what will become public first. The registered office has to meet Companies House requirements. For example, it must be an appropriate physical address in the jurisdiction where the company is registered. Companies House: addresses.
Complete the identity requirements
For a new company, you’ll need each director’s Companies House personal code when you register. People with significant control (PSCs) have their own identity verification to complete. A newly added PSC can give their code when they’re added, or within 14 days. Don’t assume that finishing the director step also completes the PSC step. Companies House: when to verify identity.
Use the current official process, either yourself or through an authorised agent. Verifying identity and registering the company are linked, but they’re different steps.
What does company registration cost?
As at September 2026, registering a company online costs £100 as standard. After that, the online confirmation statement costs £50 for each relevant twelve-month payment period. Check the official fees before you apply, especially if you’re using an agent or filing another way. Companies House fees.
Your certificate of incorporation confirms the company exists. It doesn’t mean every tax registration and business requirement is done.
Set up the company’s routine
Keep company money and records separate from your own. Then check what applies to you:
Corporation Tax registration
PAYE, if it applies
VAT
annual accounts
the confirmation statement
If you need to register for Corporation Tax once the company starts doing business, the usual deadline to tell HMRC is within three months. HMRC: Corporation Tax registration, running a company.
You might also need a personal tax return, depending on your income and situation. Being a director doesn’t, on its own, mean you have to file one.
Before you take any money out, be clear what it is: salary, a dividend, a repayment of expenses or a director’s loan. Each has different rules. An accountant can help you set up the process before your first withdrawal. GOV.UK: taking money out.
